These Terms & Conditions outline how IOM Web Design
delivers website design. development, hosting, domain registration, print products and email services. They provide clarity and protection for both our clients and
our business.
These Terms &
Conditions govern all services provided by IOM Digital Design Limited trading
as
IOM Web Design, IOM Web Solutions, IOM Print Products, dkphotography (“we”, “us”, “our”).
They apply to all
interactions with our business, including our website, proposals, quotations,
invoices, hosting services, domain registration, DNS management, email services
and any professional services supplied by us.
By instructing us to carry
out work, paying an invoice, or continuing to use our services, you confirm
that you accept and agree to be bound by these Terms & Conditions.
You confirm that you are
legally capable of entering into a binding agreement and that you will use our
services lawfully.
Content published on our
website is owned by or licensed to Us.
You
may view, download and print material for your own lawful business use, but you
may not reproduce, modify, distribute or republish content without our written
permission.
You
must not misuse our website or attempt to gain unauthorised access to any
systems, servers or data.
You must not introduce malware, attempt to disrupt
services or use our content in a way that suggests endorsement where none
exists.
Where we provide website design or development services, work will be
carried out in accordance with the agreed quotation, proposal or written
confirmation.
Any additional work outside the agreed scope may incur additional charges.
Upon
full and cleared payment of all website build fees, ownership of the
completed website design and content created specifically for you
transfers to you.
This transfer does not include third-party software,
plugins, frameworks, hosting systems, licensed tools or development
methodologies used in the creation of the website. Until full payment
has been received, all intellectual property rights remain with IOM Web
Design.
We reserve the right to
display completed websites within our portfolio and marketing materials unless
otherwise agreed in writing.
Websites may include third-party software, plugins or licensed editing tools.
Some websites are developed using licensed white-label
website editing software held under a professional licence owned by IOM
Web Design. These licences remain our property and are authorised on a
per-domain basis.
Where third-party licensing affects editing access or
continued functionality, we will explain any relevant licensing
requirements if services are being transferred or terminated.
If services are terminated and you wish to continue
editing the website using the same software, you may be required to
obtain your own licence directly from the relevant provider.
Where premium plugins or licensed components are installed
under our account, continued functionality may depend on active
licensing.
Upon termination of services, licenses held by us may be
withdrawn. We accept no responsibility for compatibility issues, expired
licenses or resulting website issues following termination.
Unless otherwise agreed in writing, websites are provided under a managed service model.
Under this model, administrative access to the website
backend may not be provided. Updates, edits and maintenance are carried
out by us.
Editor access may be granted at our discretion where specifically agreed.
We reserve the right to restrict or revoke access where
necessary to protect the security, integrity or stability of the website
or hosting environment.
Where we provide website hosting, services are delivered using reputable third-party UK hosting providers.
While we select reliable infrastructure providers and
monitor service status, we do not own or control the underlying server
infrastructure and cannot guarantee uninterrupted availability.
We do not provide guaranteed uptime unless expressly agreed in writing.
We
shall not be liable for interruptions, downtime, data loss or service
disruption caused by third-party hosting providers or events beyond our
reasonable control.
Where we host websites developed or maintained by third
parties, our responsibility is limited to providing hosting
infrastructure only. We are not responsible for website code,
configuration, plugin conflicts, vulnerabilities or performance issues
introduced by third parties.
If a hosted website causes server instability, excessive
resource usage or security risk, we reserve the right to suspend hosting
until the issue is resolved.
Where websites are hosted by us, routine backups are performed either
through the hosting provider’s system or through server-level backup
processes configured by us.
Backup retention periods typically range between 6 and 15
days depending on the hosting platform. Backups are provided as a
precautionary measure and are not guaranteed as a permanent archive.
While we make reasonable efforts to maintain recoverable backups, restoration cannot be guaranteed in all circumstances.
Clients are responsible for retaining independent copies of critical content where appropriate.
Where we register and manage domain names on behalf of clients, domains
are registered in the name of IOM Web Design for administrative and
management purposes.
The domain is held on behalf of the client as the intended
beneficial user. Domains are set to auto-renew by default. We renew
domains prior to issuing an invoice for renewal fees.
Renewal remains conditional upon payment of the invoice issued.
If renewal fees are not paid within the stated invoice
period, we reserve the right to suspend management services and shall
not be liable for any loss arising from domain expiry.
Where a domain is registered directly by the client, the client is solely responsible for ensuring timely renewal.
Upon termination of services, clients may transfer their
domain to another provider. An administration fee may apply to cover the
time required to coordinate the transfer. All outstanding balances must
be settled before any transfer is processed.
Where email hosting is provided, standard
packages may include up to five mailboxes per domain with specified
storage limits. Additional mailboxes or storage may be available at
additional cost.
Initial mailbox security is configured at setup. Clients
are provided with secure access credentials and may update passwords at
any time.
Clients are responsible for maintaining secure passwords,
protecting login credentials and exercising caution when opening
attachments or links.
While spam and malware filtering systems are in place, no
email system can guarantee complete protection from phishing, spam or
malicious attachments.
We accept no liability for losses resulting from
compromised accounts where access credentials have been shared, reused,
guessed or exposed through client action.
Where passwords are forgotten, we can reset access credentials upon request.

Where print products are supplied by us (including but not limited to business cards, flyers, brochures, signage and other printed materials), the following terms apply.
If a client provides artwork for print, it is the client’s responsibility to ensure that all content, spelling, layout, dimensions and specifications are correct prior to submission. We accepts no responsibility for any errors contained within client-supplied artwork once it has been approved for print.
Where we produces artwork on behalf of the client, a proof will be provided for review and approval before any order is placed. It is the client’s responsibility to check all details carefully, including spelling, contact information, layout and overall design. Once approval has been given and the item has been sent to print, we cannot be held responsible for any errors identified afterwards, and any reprint costs will be chargeable.
All print products are produced to a professional standard; however, slight variations in colour, finish and alignment may occur due to the nature of the printing process. These are considered acceptable within industry tolerances.
Delivery timeframes are provided as estimates only. Typical turnaround times may be stated as, for example, 3–5 working days, but these are not guaranteed. We do not control third-party production schedules or postal and courier services, and therefore cannot be held responsible for delays once an order has been placed.
By proceeding with a print order, the client agrees to these terms and accepts responsibility for final approval of all artwork prior to production.
Where photography services are provided by Us, or any associated companies within IOM Digital Design Limited, the following terms apply.
All photography work will be agreed in advance, including scope, location and pricing. By confirming a booking, the client agrees to the quoted price and the services outlined. Payment terms will be specified on the invoice and must be adhered to unless otherwise agreed in writing.
Unless otherwise agreed, all images remain the intellectual property of IOM Digital Design Limited. Upon full payment, the client is granted a licence to use the images for their intended purpose, such as marketing, website use or social media. Images may not be resold or supplied to third parties without prior written permission.
We reserve the right to use photographs taken for our own promotional purposes, including on our websites, social media channels and marketing materials, unless agreed otherwise in writing prior to the shoot.
While every effort is made to deliver high-quality images, photography is a creative service and results may vary depending on factors such as lighting, location and subject conditions.
Disclaimer:
Photography services are provided on an “as is” basis. While we take all reasonable care in delivering our services, we do not guarantee that images will meet every subjective expectation.
We do not guarantee uninterrupted or error-free service and are not responsible for circumstances beyond our control, including but not limited to equipment failure, weather conditions, venue restrictions or third-party interference.
In the event of unforeseen circumstances, we reserve the right to reschedule the booking or provide a suitable alternative. Where this is not possible, liability will be limited to the value of the services booked.
Invoices are payable within seven days from the invoice date unless otherwise agreed.
Hosting
services are typically billed monthly, with some packages billed on a
six-monthly basis, dependent on the needs of service.
Timely payment ensures continuity of hosting, domain management, email services and website availability.
If payment is not received within the stated period, we
reserve the right to suspend services until outstanding balances are
settled. Suspension may include temporary withdrawal of hosting, email
access, domain management or website availability.
We will always seek to resolve payment issues reasonably; however, continued non-payment may result in termination of services.
We may suspend services immediately where invoices remain unpaid beyond
the due date, services are used unlawfully, hosting resources are abused
or security risks are introduced.
Upon termination of services, we are under no obligation to continue hosting, maintaining or supporting the website.
Licensed third-party software under our account may be withdrawn.
Website backups or migration assistance may be provided
upon request, subject to settlement of all outstanding balances and
payment of applicable administration fees.
To the fullest extent permitted by law, our total liability arising out
of or in connection with any services provided by us shall not exceed
the total amount paid by the client to IOM Web Design in the 12 months
preceding the event giving rise to the claim.
We shall not be liable for loss of profits, loss of
revenue, loss of business, loss of reputation, loss of anticipated
savings or any indirect or consequential loss.
Nothing in these Terms limits liability for death or
personal injury caused by negligence, fraud or any matter which cannot
legally be excluded.
The client agrees to indemnify and hold harmless IOM Digital Design Limited, its employees and representatives from any claims, damages, liabilities or expenses arising from the client’s use of the images, including any breach of these terms or misuse of the content supplied.
We shall not be liable for failure or delay in performing our
obligations where such failure results from events beyond our reasonable
control.
This includes internet outages, hosting provider failures,
registrar failures, cyberattacks, government action, power failure,
industrial disputes or natural disasters.
Where possible, we will take reasonable steps to restore services promptly.
We may update these Terms & Conditions from time to time to reflect changes in law, technology or business operations.
The latest version will be available on our website.
Continued use of our services, instruction of further
work, or payment of invoices following publication of updated Terms
shall constitute acceptance of the revised Terms & Conditions.
These Terms & Conditions and any dispute or claim arising out of or
in connection with them shall be governed by and construed in accordance
with the laws of the Isle of Man.
The parties agree that the courts of the Isle of Man shall
have exclusive jurisdiction to settle any dispute or claim arising out
of or in connection with these Terms & Conditions or the services
provided, irrespective of Jurisdiction
